Norwegian Govt. approves Leroy’s deal with Havfisk and Norway Seafoods

The Norwegian Ministry of Trade, Industry and Fisheries has approved Lerøy Seafood Group’s acquisition of shares in Havfisk ASA and Norway Seafoods Group.
Lerøy is still awaiting the approval from the relevant competition authorities before completing the transactions announced in early June through a stock exchange notice.
The official statement issued by Havfisk makes reference to the agreements entered by Aker Capital AS and Aker Capital II AS with Lerøy to sell Aker's 63.21 per cent ownership stake in Havfisk for NOK 36.50 (USD 4.4) per share and Aker's 73.63 per cent ownership stake in Norway Seafoods for NOK 1.0 (USD 0.1) per share.
Lerøy’s board of directors also expressed their intention to make an offer for the remaining shares in Norway Seafoods at NOK 1.0 per share.
These purchases will significantly strengthen Leroy's position within the European white fish segment and secure ownership and access to more than 100,000 tons of white fish raw material.
When the acquisition agreement was settled, Leroy also considered a private placement of 4,000,000 to 5,000,000 new shares (7.3 - 9.2 per cent of total share capital) and up to 300,000 own shares.
