Mowi Sells Canada East Salmon Farming Assets to Cooke for CAD 225 Million

Norwegian giant optimizes global portfolio following millions in losses from mortality events, while New Brunswick-based family firm plans a CAD 500 million (USD 366.5 million) investment to stabilize operations.

The Norwegian multinational Mowi ASA, recognized as the world's largest producer of farm-raised salmon with approximately 20% of the global market share, has reached a definitive agreement to sell its entire operations in eastern Canada (Mowi Canada East) to local company Cooke Inc. for CAD 225 million (USD 165 million) on a debt-free basis.

The transaction, subject to approval by competition authorities, confirmatory due diligence, and customary closing conditions, is expected to close formally in the second half of 2026. With this move, the eastern Canada division will be classified as "assets held for sale". The transfer encompasses freshwater hatcheries, open-net sea farming sites, and two processing plants distributed across the provinces of New Brunswick, Prince Edward Island, and Newfoundland and Labrador.

Strategic Restructuring and Harvest Projections

The exit from eastern Canada responds to a strategy by Mowi ASA to streamline its aquaculture portfolio and concentrate its resources on more profitable core geographies. The group, headquartered in Bergen, Norway, reported record turnover of EUR 5.73 billion (USD 6.13 billion) in 2025 and employs 11,500 people across 26 countries. It currently holds a market capitalization of NOK 101.2 billion (USD 9.64 billion) and an average trading volume of 1,157,622 shares.

However, this divestment will force the firm to adjust its global harvest guidance downward for 2026, reducing it from 605,000 tonnes (GWT) to 600,000 tonnes (GWT). Furthermore, the operation will trigger a negative accounting adjustment (write-down) of approximately CAD 140 million (USD 102.6 million) tied to the value of the transferred assets.

Mowi’s eastern operations were severely impacted by adverse climatic and health factors. Its 2025 annual report revealed a loss of EUR 39.8 million (USD 42.6 million) before interest and taxes (EBIT) on its Canadian salmon, contrasting with the EUR 3.4 million (USD 3.64 million) profit obtained in 2024. Similarly, production projections for this subsidiary were already declining, estimating a drop from 17,000 tonnes to 12,000 tonnes for the current year.

Through a statement, Mowi ASA limited its comments to noting that the sale is executed "in order to further improve Mowi’s farming portfolio and focus even more on core farming geographies," declining to offer additional comments.

Cooke Aquaculture is a family-owned, multinational seafood company that originated in Canada. It was founded in 1985 in Blacks Harbour, New Brunswick, by Gifford Cooke and his sons, Glenn and Michael. Starting with a single salmon farm, it has grown into the world's largest privately held seafood company

Mortality History and Environmental Challenges

The profitability of the farming centers in Newfoundland was heavily impacted last year by successive episodes of mass mortality of the Salmo salar species (Atlantic salmon):

  • July: An "abnormal mortality event" caused the loss of more than 10% of the salmon population at a center near Rencontre East, on Newfoundland’s south coast.

  • September: The upwelling of cold, low-oxygen water to the surface caused the death of 23% of the fish at three centers located near Harbour Breton.

  • Autumn: High water temperatures, combined with a lack of rain and wind to drive ocean currents, triggered a proliferation of sea lice that caused the death of 475,000 additional salmon at two other complexes in the region.

Parallelly, the Pacific sister company, Mowi Canada West, faces a landscape of high regulatory uncertainty following the resolution adopted by the Canadian federal government in 2024, which requires the complete eradication of traditional open-net sea cages on the coast of British Columbia by 2029, forcing a transition toward closed land-based systems. "Mowi Canada West is a 20,000 tonne operation with highly uncertain future prospects," the company admitted in its annual report.

Expansion and Consolidation of Cooke Inc.

Based in Saint John, New Brunswick, Cooke Inc. consolidates itself with this acquisition as the largest private family-owned seafood firm in the world, operating in 16 countries with a global workforce of 15,000 employees. Founded in 1985 by Gifford Cooke alongside his sons Michael Cooke and Glenn Cooke, the firm accumulates more than 100 historical acquisitions. Its largest previous financial milestone was recorded in 2022, when it absorbed Australian seafood producer Tassal Group Ltd. for AUD 1.5 billion (USD 1.01 billion / CAD 1.38 billion).

Nationally, Cooke Inc. currently generates more than half of the farmed Atlantic salmon in eastern Canada. By adding Mowi’s assets, its regional production share will climb to nearly 70%, meaning the firm will control the production of more than one out of every three farmed salmon across the entire Canadian territory.

The company’s chief executive officer, Glenn Cooke, positively assessed the agreement: "This is an exciting growth opportunity for our Atlantic Canada operations. We look forward to welcoming Mowi Canada East’s 250 employees to Cooke, and to working together to grow the sector and sustainably farm Atlantic salmon for customers in this region and beyond." The executive complemented this by ensuring that immediate objectives will focus on "stabilizing and reinvesting in the operations through synergies with our existing farming operations."

Technological Investment to Mitigate Marine Risks

To absorb and productively restructure the new assets, Cooke Inc. contemplates an aggressive long-term investment plan. "We plan to invest about a half a billion dollars (CAD 500 million / USD 366.5 million) in Atlantic in terms of our shore-based freshwater hatcheries, our seaside vessels," advanced Joel Richardson, vice president of public relations at Cooke Inc.

Cooke's corporate strategy will focus heavily on technological modernization and optimizing the fish's biological cycle at sea. "What we’re really aiming to do is to stock our ocean farms with larger fish so they spend less time at sea and they can grow more rapidly, get them to market quicker," explained Richardson.

The company will implement "smart farming" technologies (precision aquaculture) involving the use of underwater cameras, environmental monitors, and artificial intelligence (AI) systems to track feeding behavior and the biological response of biomass in real time. Likewise, advanced eco-friendly treatments will be introduced to safeguard fish health against sea lice and other pathologies.

Richardson emphasized the relevance of shielding operations through technology against local geographical particularities: "Atlantic Canada is a challenging place to operate because we have such unique marine conditions. We have unique weather. There’s often severe weather and storms that comes in to our shorelines and we have to manage that risk and prepare for it." The firm ratified that it will maintain intact the jobs of the absorbed workforce.

Environmental Debate on Open-Net Pen Aquaculture

Unlike what was mandated on the Pacific coast, the Ottawa government does not contemplate for the moment the progressive elimination of aquaculture licenses in open cages on the Atlantic coast, providing legal certainty to Cooke's plans. However, the activity continues to generate controversy among civil organizations and regulatory institutions.

Various environmental groups maintain that open nets represent a superior ecological risk compared to land-based recirculation infrastructures, due to the free exchange of water between the farming modules and the surrounding marine environment, facilitating the dispersion of organic waste, chemical treatments, and pathogens.

An audit report issued in 2018 by Julie Gelfand, then federal environment commissioner within the Office of the Auditor General of Canada, formally warned about the risk of disease transmission from farmed specimens to wild salmon populations. The audit ruled that Fisheries and Oceans Canada (DFO) had failed to adequately balance the industry's economic promotion with its constitutional mandate to protect wild fish, highlighting the lack of conclusive scientific studies on the impact of pesticides used in concessions and the danger of accidental fish escapes, capable of inducing deleterious genetic alterations in local river ecosystems.
